01Agreement & Eligibility
These Terms of Service (“Terms”) form an agreement between you and Gus Fahrendorf, doing business as The Black Friday Architect (“The Black Friday Architect,” “we,” “us,” or “our”). They govern your use of BlackFridayArchitect.com and related pages, forms, scheduling tools, communications, products, and services.
You must be at least 18 years old and legally able to enter a binding agreement. If you act for a company or other organization, you represent that you have authority to bind that organization.
If a signed proposal, order form, statement of work, or separate service agreement conflicts with these Terms, the signed project document controls for that project.
02Website Use & Conduct
We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the website for lawful personal or business purposes.
You may not:
- Copy, scrape, reproduce, republish, sell, license, or distribute website content without written permission.
- Use the website to violate law, infringe intellectual-property or privacy rights, transmit malware, interfere with security, or gain unauthorized access.
- Misrepresent your identity, impersonate another person, submit false information, or use automated systems to abuse our forms or services.
- Frame, mirror, reverse engineer, benchmark, or use our content to create a competing product or service.
We may restrict or block access when we reasonably believe the website is being misused.
03Services, Scope & Changes
The Black Friday Architect provides campaign strategy, offer development, copywriting, funnel and page planning, funnel implementation, email campaign development, checkout optimization, launch guidance, consulting, and related marketing services.
The exact deliverables, revisions, schedule, responsibilities, exclusions, and price for a client project will be described in a written proposal, order form, or statement of work. Anything not expressly included is outside the project scope.
Requests that materially change approved strategy, copy, design, technology, integrations, quantity, or timing may require a written change order, additional fees, and a revised schedule.
04Client Responsibilities
When you purchase services, you agree to:
- Provide accurate information, brand assets, product details, pricing, legal disclosures, access credentials, approvals, and feedback reasonably required for the project.
- Respond and provide approvals within the time stated in your project agreement or, if no time is stated, within a reasonable period.
- Review all deliverables for factual accuracy, legal compliance, pricing, claims, spelling, links, and functionality before publication.
- Obtain rights and permissions for all trademarks, images, testimonials, customer lists, data, music, videos, copy, and materials you supply.
- Ensure your business, offer, advertising, communications, fulfillment, refunds, taxes, data practices, and claims comply with applicable law.
- Maintain secure backups and protect passwords and account access.
We are not responsible for delays, errors, added expense, or missed launch dates caused by incomplete information, late approvals, access problems, third-party delays, or changes requested by you.
05Orders, Fees & Payment
Prices are stated in U.S. dollars unless otherwise specified. Your proposal or order form will state the applicable fee, deposit, milestone schedule, recurring charge, or payment plan.
- Payments are due according to the written project agreement.
- You authorize us and our payment processor to charge the payment method provided for agreed amounts.
- You are responsible for applicable taxes, platform fees, advertising costs, software subscriptions, domains, stock assets, and other third-party expenses unless expressly included.
- Late or failed payments may pause work, access, delivery, or launch support and may extend the schedule.
- You remain responsible for approved work completed and non-cancellable costs incurred before a pause, cancellation, or termination.
We may decline an order or project before acceptance. An automated confirmation does not necessarily mean a custom-services engagement has been accepted.
06Cancellation & Refunds
Custom strategy, copywriting, design, implementation, and consulting reserve professional time and often begin immediately. Unless your signed proposal or the specific sales page states otherwise:
- Deposits and payments for completed work are non-refundable.
- If you cancel after work begins, you are responsible for work performed, time reserved, approved expenses, and non-cancellable third-party costs through the cancellation date.
- No refund is provided merely because you change direction, delay your launch, stop participating, fail to provide materials, or do not achieve a desired business result.
- If we cancel a project without cause before completing paid work, we will refund the unearned portion of fees, if any.
Any guarantee or refund promise displayed on a specific offer page applies only to that offer and only under the conditions stated there. The free 15-minute call does not obligate either party to purchase or provide additional services.
07Timing, Launches & Approvals
Project dates are good-faith estimates unless a signed agreement expressly identifies a date as guaranteed. Black Friday campaigns are time-sensitive. Your timely participation is essential.
Approval by email, project-management system, text, recorded call, or other written electronic communication may be treated as authorization to proceed. Once a stage is approved, later changes may be billed separately and may affect the launch schedule.
We are not liable for missed opportunities, advertising windows, launch dates, platform approvals, or revenue resulting from client delay, third-party failure, force majeure, or circumstances outside our reasonable control.
08Intellectual Property
Your Materials
You retain ownership of materials you provide. You grant us a limited license to use, edit, reproduce, and transmit those materials as reasonably necessary to perform the services.
Final Deliverables
After full payment, you receive the usage or ownership rights in final custom deliverables described in your signed agreement. Drafts, rejected concepts, working files, internal processes, templates, frameworks, methods, prompts, code libraries, know-how, and pre-existing materials remain ours unless expressly transferred in writing.
Portfolio & Testimonials
We will not publicly disclose confidential client information. Unless your agreement says otherwise, we may identify you as a client and display publicly launched work in a portfolio. We will use a testimonial, photograph, or case study only with your permission. You may withdraw permission for future use by contacting us.
09Third-Party Platforms & Services
Projects may depend on third-party services such as ClickFunnels, payment processors, domains, hosting, email and SMS providers, calendars, analytics, advertising networks, video platforms, integrations, and artificial-intelligence tools.
Those providers control their own pricing, policies, uptime, approvals, data practices, features, and technical performance. We do not own or control them and cannot guarantee uninterrupted access, deliverability, compatibility, ad approval, account approval, or continued availability.
You are responsible for reviewing and complying with third-party terms. Unless expressly included, third-party fees are your responsibility. We are not liable for a third party’s outage, account restriction, policy change, data loss, security incident, or service failure.
10Results & Earnings Disclaimer
Every business, offer, audience, list, market, price, reputation, traffic source, budget, and level of execution is different. For that reason, individual results vary.
We do not promise or guarantee any specific revenue, profit, conversion rate, return on investment, number of buyers, advertising result, or business outcome.
Our services are intended to improve campaign strategy and execution. Your results also depend on factors outside our control, including your offer, traffic, audience, pricing, competition, inventory, fulfillment, reputation, market conditions, platform performance, and decisions made after delivery.
Testimonials and examples describe individual experiences and are not promises that you will achieve the same outcome. We do not provide legal, tax, accounting, or financial advice.
11Disclaimer Of Warranties
To the fullest extent permitted by law, the website and its content are provided “as is” and “as available.” We disclaim express and implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted or error-free operation.
Any express warranty for paid services must appear in a signed agreement or on the specific offer page. We do not warrant that the website, funnel, code, integration, email, advertisement, or third-party platform will always operate without interruption, error, security risk, or incompatibility.
12Limitation Of Liability
To the fullest extent permitted by law, Gus Fahrendorf and The Black Friday Architect will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost revenue, lost profit, lost opportunity, loss of data, loss of goodwill, advertising expense, or the cost of substitute services.
To the fullest extent permitted by law, our total liability arising from a particular paid service will not exceed the amount you paid us for that service during the three months immediately preceding the event giving rise to the claim. These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose.
Some jurisdictions do not permit certain limitations, so portions of this section may not apply to you.
13Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Gus Fahrendorf and The Black Friday Architect from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising from your business, offer, products, services, customer relationships, materials, data, instructions, legal violations, infringement of third-party rights, misuse of deliverables, or breach of these Terms.
14Suspension & Termination
We may suspend website access or services if you fail to pay, materially breach an agreement, misuse our systems, request unlawful or deceptive work, abuse or threaten personnel, or create a legal, security, or reputational risk.
Termination does not eliminate payment obligations or provisions intended to survive, including intellectual property, confidentiality, disclaimers, limitations of liability, indemnification, and dispute provisions.
15Governing Law & Disputes
Before filing a formal claim, each party agrees to provide written notice describing the dispute and make a good-faith attempt to resolve it informally.
These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles. Unless a signed agreement requires another lawful dispute procedure, claims that cannot be resolved informally will be brought in the state or federal courts serving [YOUR COUNTY], WISCONSIN, and each party consents to that jurisdiction and venue.
16General Terms
Privacy
Your submission of personal information is governed by our Privacy Policy.
Electronic Communications
You consent to receive agreements, notices, invoices, approvals, and other communications electronically. Electronic acceptance and signatures may have the same force as handwritten signatures where permitted by law.
Force Majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, severe weather, fire, war, labor disputes, utility or internet failure, government action, illness, platform outages, cyberattacks, or supplier failure.
Assignment
You may not assign your agreement without our written consent. We may assign our rights and obligations in connection with a business reorganization or transfer.
Severability And Waiver
If a provision is found unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver.
Entire Agreement And Changes
These Terms, the Privacy Policy, and any signed proposal, order form, statement of work, or service agreement form the entire agreement regarding the applicable subject matter. We may update these Terms by posting a revised version. Continued website use after the effective date of an update constitutes acceptance of the revised Terms.
